Terms of service

These Terms of Service (“Terms”) govern your access to and use of Yellowbrick (“Service”), operated by Yellowbrick Technologies, Inc., a Delaware corporation (“Yellowbrick,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Yellowbrick does
Yellowbrick is a commercial real estate analysis and marketing tool. Reports and marketing features include AI-generated analysis, third-party demographic and contact information data, and maps.
Yellowbrick is designed for commercial real estate professionals: brokers, landlords, investors, and advisors. It is not intended for residential real estate or consumer use.
2. Accounts
You must create an account to use the Service. You agree to:
- Provide accurate, complete information during registration and keep it current
- Maintain the confidentiality of your password
- Accept responsibility for all activity that occurs under your account
- Notify us immediately at hello@yellowbrickretail.com if you suspect unauthorized access or use
You must be at least 18 years old. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Plans, credits & billing
How credits work. Yellowbrick uses a credit system to gate report generation. Each report you generate consumes one credit. Viewing, sharing, or revisiting a previously generated report does not consume additional credits.
Free plan. New accounts receive a starter credit upon signup at no charge. Current quantities are shown on our Pricing page.
Premium plan. A monthly subscription that grants a set number of credits per billing cycle. Credits are issued at the start of each billing cycle and expire at the end of it. Unused subscription credits do not roll over to the next cycle. Current quantities and pricing are shown on our Pricing page.
One-time credit purchases. You may purchase additional credits at any time, independent of your plan. One-time credits do not expire. Current quantities and pricing are shown on our Pricing page.
Refund policy. Credits consumed by a successfully completed report are non-refundable. If a report fails to generate due to a server error or pipeline failure on our end, the credit is not charged. We do not offer prorated refunds for unused subscription credits mid-cycle.
Subscription cancellation. You may cancel your Premium subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to your remaining credits through that date; any unused subscription credits expire at the end of the period and are not refunded.
Billing.Payments are processed by Stripe, Inc. By providing payment information, you authorize Stripe to charge the applicable fees on our behalf. All prices are in USD. We reserve the right to change pricing with at least 30 days’ written notice to your account email.
Taxes. You are responsible for any applicable taxes, levies, or duties arising from your purchase.
4. AI-generated content
Yellowbrick reports include content generated by large language models operated by Google, Anthropic, and OpenAI. AI-generated content includes, but is not limited to, health scores, executive summaries, tenant mix analysis, strategy recommendations, and category fit scores.
This is analysis, not professional advice. AI-generated output reflects patterns in the input data and is intended as a starting point for professional judgment — not a replacement for it. Do not make leasing, acquisition, disposition, financing, or investment decisions based solely on Yellowbrick reports. Always consult qualified real estate, legal, and financial professionals.
Accuracy is not guaranteed. AI models can produce errors, reflect outdated training data, misinterpret inputs, or generate analysis that does not accurately characterize a specific property or market. We do not warrant the accuracy, completeness, reliability, or fitness for any particular purpose of any AI-generated content in a report.
You are responsible for how you use reports. You assume all risk from relying on, sharing, or acting on Yellowbrick reports in your professional work. We are not liable for decisions made based on report content.
5. Third-party data
Reports incorporate data from third-party sources we do not control, including:
- Google Places — nearby tenant names, categories, locations, and business details
- ESRI GeoEnrichment — demographic estimates (population, income, household composition)
- Mapbox — map rendering and display
This data is provided as-is. Tenant listings may be incomplete, out of date, or incorrect. Demographic figures are statistical estimates and may not reflect current market conditions. We are not responsible for errors, omissions, or inaccuracies in third-party data, and we make no representations about its reliability.
6. Report sharing
Each report is accessible via a unique, unguessable link (a UUID). Anyone who has the link can view the report without logging in. This is intentional — it allows you to share reports with clients, partners, and colleagues without requiring them to create an account.
You control who sees your reports. If you share a report link, the recipient can view the full report contents, including the property address, tenant analysis, and any notes or vacancy information you have entered. We do not restrict or log access by recipients. Treat report links like confidential documents — share them only with people who are authorized to view the information.
7. Your content
You retain ownership of any information you submit to the Service, including property addresses, vacancy details, and notes (“Your Content”). By submitting Your Content, you grant us a limited, non-exclusive license to process and store it solely to provide the Service to you.
You represent that you have all necessary rights to submit Your Content and that doing so does not violate any law or any third party’s rights.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Scrape, copy, or systematically extract report data for resale, redistribution, or to build a competing product
- Attempt to reverse-engineer the Service, its AI prompts, or its pipeline logic
- Use the Service to generate content intended to mislead, deceive, defame, or harm any person or organization
- Share, sell, or transfer your account credentials to any other individual or organization
- Circumvent or attempt to circumvent any credit, access, or usage controls
- Use automated scripts or bots to interact with the Service without our written permission
9. Intellectual property
We own the Service and all related intellectual property, including its design, code, AI prompts, branding, and documentation. Nothing in these Terms transfers any intellectual property rights to you.
You own Your Content (as defined in Section 7).
Reports are outputs of the Service. You may use, reproduce, and distribute reports for your own professional purposes, including presenting them to clients and including them in marketing materials.
10. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranty of any kind. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that reports will be accurate, complete, or suitable for your purposes.
11. Limitation of liability
To the maximum extent permitted by applicable law, our total cumulative liability to you for any claims arising from or related to these Terms or the Service will not exceed the greater of: (A) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (B) one hundred U.S. dollars ($100).
In no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, loss of goodwill, or loss of business opportunity, even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
12. Indemnification
You agree to indemnify, defend, and hold harmless Yellowbrick and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or any third party’s rights.
13. Term & termination
These Terms remain in effect while you hold an account or use the Service. We may suspend or terminate your account at any time, with or without notice, if we determine in our reasonable judgment that you have materially violated these Terms, engaged in fraudulent or abusive activity, or for any other reason we deem necessary to protect the Service or other users.
You may close your account at any time by contacting us at hello@yellowbrickretail.com. Upon account closure, your right to use the Service ends. We will handle your data as described in our Privacy Policy.
Termination does not entitle you to a refund of any credits or subscription fees, except as expressly required by applicable law.
14. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email to your registered address and/or by a prominent notice within the Service at least fourteen (14) days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and close your account before they take effect.
15. Governing law & disputes
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any dispute arising from or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in San Francisco, California, and you consent to personal jurisdiction in those courts.
Informal resolution first. Before filing any claim, you agree to contact us at hello@yellowbrickretail.com and give us 30 days to try to resolve the dispute informally.
16. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yellowbrick regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
